ULP Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Untangled Technologies Inc., a Delaware corporation ("we," "us," "our"), which operates the Untangled Logistics Platform ("ULP") at ulpfreight.com and related apps (the "Service"). By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use ULP on behalf of a company, you accept these Terms for that company and confirm you have authority to bind it.

2. Beta service

ULP is in beta. It is unfinished, may contain errors, and may change, pause, lose data, or stop at any time without notice. You use it entirely at your own risk.

Do not rely on ULP as your only record of any load, agreement, document, or message. Keep your own copies.

3. Eligibility and accounts

  • You must be at least 18 and use ULP for business purposes in the freight and transportation industry.
  • You must give accurate, current, and complete information and keep it up to date. You may hold only one personal account and may not use another person's identity or account.
  • You are responsible for everything done through your account. Keep your login secure and tell us right away at support@ulpfreight.com if you suspect unauthorized use.
  • Company owners and admins are responsible for confirming only real members of their company and for removing people who leave.

4. Verification

We may check information against public sources such as FMCSA and through third-party identity providers, and may show verification status. A verification covers only the specific check shown, as of the time it was done.

Verification is not an endorsement, background check, safety rating, or guarantee of anyone's identity, authority, insurance, creditworthiness, or performance. We may refuse, suspend, or remove any verification at our discretion.

5. ULP's role

ULP is a technology platform only. Untangled Technologies Inc. is not a broker, carrier, freight forwarder, shipper, dispatcher, or agent, and is not a party to any agreement between users. We do not arrange, transport, insure, or take possession of freight, and we do not hold or process payments between users.

Each user is solely responsible for:

  • Their own vetting and decisions about whom to work with.
  • Holding and maintaining all required authority, registrations, permits, insurance, and bonds.
  • Complying with all laws, including FMCSA and DOT regulations.
  • Their loads, rates, contracts, payments, cargo, claims, and disputes with other users.

6. Information on ULP

Information on ULP comes from users and third parties, including FMCSA and other government data, which may be delayed, incomplete, or wrong. We do not guarantee the accuracy of any information on the Service. Verify anything important independently before you act on it.

7. Acceptable use

You agree not to:

  • Post false, misleading, or fraudulent loads, profiles, documents, reviews, or other information.
  • Impersonate any person or company, or misrepresent your role or authority.
  • Use ULP for double brokering, cargo theft, fraud, or any unlawful purpose.
  • Harass, threaten, or spam other users, or contact them for purposes unrelated to the Service.
  • Scrape, copy, or harvest data from ULP, or use it to build a competing product.
  • Probe, interfere with, or bypass the security of the Service, or access it by automated means without our written permission.

8. Your content

You keep ownership of what you submit, such as profile details, documents, loads, and messages. You grant Untangled Technologies Inc. a non-exclusive, worldwide, royalty-free license to host, store, use, display, and share that content to operate, secure, and improve the Service. You confirm you have the right to submit everything you upload.

Information on your profile, company profile, and loads is visible to other users. Records of your work history and activity on ULP, including company memberships and ratings, may remain on the Service after you leave a company or close your account.

9. Our property

ULP, including its software, design, and branding, belongs to Untangled Technologies Inc. These Terms give you a limited, revocable, non-transferable right to use the Service, and nothing more. If you send us feedback, we may use it freely without obligation to you.

10. Fees

ULP is currently free. We may introduce fees in the future, or it may stay free. We will notify users before any fee takes effect, and you will not be charged without your agreement.

11. No warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE MAKE NO WARRANTY ABOUT ANY USER, COMPANY, LOAD, OR INFORMATION ON THE SERVICE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UNTANGLED TECHNOLOGIES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE. THIS INCLUDES LOSSES FROM CARGO LOSS OR DAMAGE, NON-PAYMENT, FRAUD, ACCIDENTS, DATA LOSS, OR ANY ACT OR OMISSION OF ANOTHER USER OR THIRD PARTY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $100.

13. Indemnification and release

You will defend, indemnify, and hold harmless Untangled Technologies Inc. and its officers, directors, employees, and agents from any claims, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your content, your dealings with other users, or your breach of these Terms or any law.

Disputes between users are solely between those users. You release Untangled Technologies Inc. from all claims arising from them.

14. Suspension and termination

We may suspend or terminate your account or access, or remove any content, at any time and for any reason, with or without notice. You may stop using ULP and ask us to close your account at any time. Sections 5, 6, 8, 9, 11 to 13, 16, and 17 survive termination.

15. Changes to these Terms

We may update these Terms at any time by posting a new version with a new effective date. For material changes, we will also notify you through the Service or by email. Continuing to use ULP after a change means you accept it.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

17. General

These Terms and our Privacy Policy are the entire agreement between you and Untangled Technologies Inc. about the Service. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver. You may not transfer these Terms; we may transfer them, including in a merger or sale.
